AGM & AR Extension of Deadline
Due to this worldwide pandemic, many companies may have difficulties holding their Annual General Meetings (AGMs), as well as the filling of their Annual Returns (ARs). With that, the Accounting & Corporate Regulatory Authority (ACRA) have come up with a Support Measures and Guidance for Businesses during COVID-19 that grants all Singapore companies a 60-day extension of deadline for holding their AGMs and ARs. This would hopefully loosen up tight knots on businesses at this given point of time.
Applied for both listed and no-listed companies, the 60-day extension is granted to companies with AGMs due during the April 16th to July 31st period. This also applies for companies that had previously been granted the extension of time to hold their AGMs within this period, they will also be given a further 60 days of extension from the last date of extension. The AR filing due dates for period 1st May 2020 to 31st August 2020 for all listed and non-listed companies will also be extended for 60 days. This extension from the new support measures will be done automatically. Hence, application is not needed.
Penalties will also not be imposed by ACRA for companies whose AGMs are due during period 1st April to 15th April 2020 if they hold the AGM within 60 days of the due date. Their AR filing due dates will also be extended for 60 days. There is no need for these companies to apply for the extension of time.
